Terms of Service
These Terms govern your use of INKDASH (the “Service”), provided by Otherlink Ltd, a company registered in England and Wales (“Otherlink”, “we”, “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Who we are
INKDASH is a software-as-a-service platform for managing e-paper displays and connected environmental sensors. The Service is owned and operated by Otherlink Ltd, contactable at info@otherlink.io.
2. Eligibility & account
- You must be at least 18 years old and have the legal capacity to enter into a contract.
- You are responsible for safeguarding your account credentials and for all activity under your account.
- You must provide accurate information and keep it up to date. We may suspend accounts that contain false or misleading information.
- If you register on behalf of an organisation, you warrant that you have authority to bind that organisation.
3. Subscriptions, payments & refunds
- Paid plans (Solo, Business and other tiers) are billed in advance on a monthly or annual basis through Stripe.
- Prices, features and limits are described on our pricing page and may change with prior notice. Existing subscription periods are honoured at the price you paid.
- Subscriptions renew automatically until cancelled. You may cancel at any time from the customer portal; cancellation takes effect at the end of the current billing period.
- No refunds are given for partial billing periods, unused features, or downgrades, except where required by law.
- Hardware purchases (devices, sensors) are sold separately and governed by the consumer rights in your jurisdiction. Returns are accepted within 14 days of delivery for unopened items in original condition; shipping costs are non-refundable.
- If a payment fails, we may suspend or downgrade your account after a reasonable grace period.
4. Acceptable use
You agree NOT to:
- Use the Service for any unlawful, harmful, fraudulent, defamatory or infringing purpose.
- Upload or display content that is illegal, obscene, harassing or that infringes any third-party rights.
- Reverse engineer, decompile, scrape, or attempt to derive source code from the Service, except to the extent expressly permitted by law.
- Resell, sublicense, or white-label the Service without our written consent.
- Use the Service to send unsolicited communications, malware, or any code designed to disrupt or gain unauthorised access to systems.
- Exceed documented rate limits, fair-use limits, or otherwise abuse our infrastructure.
- Use the Service in safety-critical environments where failure could result in death, personal injury, environmental damage or large-scale property damage. The Service is provided for general information and convenience and is not a medical, life-safety or food-safety compliance device.
We may suspend or terminate accounts that breach this section without notice.
5. Your content
You retain ownership of any images, documents, sensor data and other materials you upload (“Your Content”). You grant Otherlink a worldwide, non-exclusive, royalty-free licence to host, process, display and transmit Your Content solely to provide and improve the Service.
You are solely responsible for Your Content and for ensuring you have all necessary rights and consents.
6. Hardware & firmware
- Hardware sold by us comes with the statutory warranty applicable in your country. Outside of that warranty, hardware is sold “as is”.
- Firmware updates may be delivered automatically. We do not guarantee continued support for any specific firmware version or hardware revision.
- You are responsible for the installation environment, network connectivity, and physical safety of any device you connect to the Service.
7. Third-party services
The Service relies on third-party providers including Supabase, Stripe, Sentry, Telnyx and Fly.io. Their availability, terms and pricing are outside our control. We are not liable for outages, data loss or charges caused by third-party providers.
8. Intellectual property
The Service, including all software, designs, logos and documentation, is owned by Otherlink Ltd and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms. No other rights are granted.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy of data, uninterrupted operation or non-infringement.
We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service will meet your specific requirements.
10. Limitation of liability
To the maximum extent permitted by law:
- Otherlink Ltd, its officers, employees and suppliers shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profits, revenue, data, goodwill, business interruption, or substitute services.
- Our total aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred British pounds (£100).
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded by law.
11. Indemnity
You agree to indemnify and hold Otherlink Ltd harmless from any claims, damages, losses or expenses (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your misuse of the Service, or (c) Your Content infringing any third-party rights.
12. Termination
- You may terminate your account at any time by cancelling your subscription and deleting your account from the dashboard.
- We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or for any reason on 30 days’ notice.
- On termination, your right to use the Service ceases. We may delete your data after a reasonable retention period; see the Privacy Policy for details.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email and/or in the dashboard at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
14. Governing law & jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers may bring proceedings in their country of residence where required by law.
15. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Otherlink Ltd.
- Severability. If any clause is held unenforceable, the remaining clauses remain in force.
- No waiver. Failure to enforce a right is not a waiver of that right.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Notices. We will send notices to the email address on your account. You may send notices to info@otherlink.io.
